ORC Moves to Strike Off 453 Companies as 323 Others Are Officially Dissolved

The Office of the Registrar of Companies (ORC) has announced plans to strike off 453 companies from Ghana’s Register of Companies, while confirming that 323 other companies have already been struck off and dissolved for failing to regularise their status within the statutory period.

In a press release dated November 4, 2026, the ORC said the actions form part of its ongoing regulatory and compliance enforcement efforts under the Companies Act, 2019 (Act 992), aimed at maintaining the accuracy, integrity and reliability of the national Register of Companies.

According to the notice, the 453 companies are subject to strike-off proceedings pursuant to Section 289(3) of the Companies Act, 2019. The notice, published in Volume 48 of the ORC Companies Bulletin on October 15, 2026, gives the affected companies three months to show cause why their names should not be removed from the register.

Companies that fail to provide sufficient cause within the stipulated period will be struck off the Register of Companies and subsequently dissolved.

Meanwhile, the ORC has confirmed that 323 companies have already been struck off the register following the expiration of the statutory notice period under Section 289(5) of the Act.

The Registrar explained that notices of intention to strike off the affected companies had previously been published in Volume 40 of the ORC Companies Bulletin. With the stipulated period having expired and no sufficient cause shown against the proposed action, the companies were removed from the register.

The subsequent notice, published in Volume 49 of the ORC Companies Bulletin on October 15, 2026, confirms their dissolution in accordance with the law.

ORC Urges Companies to Regularise Their Status

The Office has advised all affected companies, creditors, shareholders and other interested parties to take the necessary steps to regularise their corporate status, where applicable.

The ORC further encouraged stakeholders seeking clarification or additional information to contact the Office directly for guidance.

The latest enforcement exercise underscores the Registrar’s commitment to strengthening corporate governance, promoting business transparency and ensuring compliance with Ghana’s corporate regulatory framework.

Companies and business owners are therefore being reminded of the importance of maintaining their statutory obligations and ensuring that their corporate records remain compliant with the requirements of the Companies Act, 2019.

For enquiries, the ORC can be contacted through its call centre on 0302 849 841 or via WhatsApp/Telegram on 059 952 5774.
